1. Confidential Information

Any technical, business, financial, customer, product, and process information disclosed by either party is confidential.

2. Purpose

Confidential information is shared solely for evaluating and executing Shopify B2B collaboration between parties.

3. Protection Obligations

Each party shall protect the other party’s confidential information using reasonable care and no less than its own standards.

4. Exclusions

Information is not confidential if publicly known, rightfully received from another source, or independently developed without reference.

5. Non-Use and Non-Disclosure

Parties shall not disclose confidential information to third parties except to authorized personnel with a need to know.

6. Term

This NDA remains effective for three years from the effective date unless replaced by a signed master agreement.
